These Terms and Conditions (“Terms”) govern your use of the Exploring Scholar website, your purchases of our products and services, and your participation in our courses and programs. Exploring Scholar is operated by Exploring Scholar Education Inc., located at 201 Consumers Rd, Suite 201, North York, Ontario M2J 4G8, Canada (“Exploring Scholar,” “we,” “us,” or “our”). By using this website or purchasing from us, you agree to these Terms. If you do not agree, please do not use the website or purchase from us.

1. Who Can Use This Website and Purchase

You must be at least 18 years old to make a purchase on this website. If you are under 18, a parent or legal guardian must complete the purchase on your behalf and is responsible for the account and the use of any products or services purchased. By placing an order, you confirm that the information you provide is accurate and that you have the legal capacity to enter into these Terms.

2. Products and Services

We may offer digital products such as downloadable practice packets and study materials, physical products such as workbooks, and educational services such as group courses, one-on-one tutoring, consultations, and accredited courses. Available products and services, their descriptions, and their prices are shown on the website and may be updated from time to time. We reserve the right to add, change, withdraw, or refuse to sell any product or service at our discretion.

3. Pricing, Currency, and Taxes

All prices shown on this website are in Canadian Dollars (CAD) unless otherwise stated. Where applicable taxes apply, they will be calculated and shown at checkout in accordance with the laws of the jurisdiction where you are located. You are responsible for any duties, customs fees, or other charges associated with shipping outside of Canada. We do our best to keep pricing accurate, but in the event of an obvious pricing error we reserve the right to cancel the affected order and refund any amount paid.

4. Payment and Order Acceptance

Payments are processed through Stripe and other payment providers we may add from time to time. By submitting payment information, you authorize us and our payment processors to charge the payment method you provide for the full amount of your order, including any taxes and fees. Your order is an offer to buy, which we may accept or decline at our discretion. We may decline orders that appear fraudulent, that violate these Terms, that fail payment authorization, or for any other reason. An order is only accepted when we send a confirmation email or, for digital products, when we make the file available for download.

5. License to Use Digital Products

When you purchase a digital product such as a practice packet or downloadable workbook, Exploring Scholar grants you a limited, non-exclusive, non-transferable, revocable license to download and use the file for the personal, non-commercial use of one student in one household. You may print copies as reasonably needed for that student’s own study.

You may not: redistribute, share, post, upload, transmit, sell, resell, sublicense, rent, or lease any portion of the file; modify, adapt, translate, or create derivative works; remove any copyright, trademark, watermark, or other notices; use any portion of the file to train, fine-tune, or evaluate any machine learning model, large language model, or other artificial intelligence system; or use the file for commercial tutoring, instruction, or any other commercial purpose. Each purchase is for a single student in a single household. Sharing the file with other students, other households, schools, learning centres, or tutoring businesses requires a separate written licence from Exploring Scholar.

This license terminates automatically if you breach any of these Terms. On termination, you must delete all copies of the file in your possession and control.

6. Refunds and Cancellations

Digital products. All sales of digital products are final. Because of the nature of downloadable content, we do not offer refunds, returns, or exchanges once the order is placed and the download link is delivered. If you experience a technical issue downloading or opening the file, please contact us at info@exploringscholar.com and we will do our best to help you access your purchase.

Physical products. If you receive a physical product that arrives damaged or materially differs from its description, please contact us within 14 days of delivery with photos and your order number. At our discretion, we will repair, replace, or refund the product. Products returned must be unused and in their original packaging. The buyer is responsible for return shipping costs unless the product was damaged or sent in error.

Services and courses. Cancellation, rescheduling, and refund terms for group courses, one-on-one tutoring, and accredited courses are described in the enrollment agreement or service agreement signed at the time of registration. Where no such agreement exists, our standard policy is that course fees are non-refundable once instruction has begun and tutoring sessions cancelled with less than 24 hours notice may be charged in full.

7. Shipping and Pickup of Physical Products

Where physical products are offered, shipping methods, estimated delivery times, and pickup options are shown at checkout. Estimated delivery dates are estimates only and not guarantees. Risk of loss and title for physical products pass to you when the carrier first takes possession of the items or, for pickup orders, when you take possession at our location.

8. Course Enrollment and Conduct

Enrollment in any Exploring Scholar course or program is governed by these Terms together with any enrollment agreement, course outline, or program policy made available at the time of registration. Students and parents are expected to behave with respect toward instructors, staff, and other students. We reserve the right to suspend or terminate a student’s enrollment without refund for behaviour that disrupts instruction, harms other students, or violates these Terms.

9. Accounts

If you create an account on this website, you are responsible for keeping your login credentials confidential and for all activity that occurs under your account. Please notify us immediately if you suspect unauthorized use of your account. We may suspend or terminate an account at our discretion if we believe it has been used in violation of these Terms.

10. Intellectual Property

All content on this website and in our products, including text, images, logos, problem sets, solutions, course materials, video, audio, design, and code, is the property of Exploring Scholar or its licensors and is protected by copyright, trademark, and other intellectual property laws. The Exploring Scholar name and logo are trademarks of Exploring Scholar Education Inc. Nothing in these Terms transfers any ownership of our intellectual property to you. Any use of our content outside of the limited license described in Section 5 requires our prior written consent.

11. User Content and Communications

If you submit content to us such as testimonials, reviews, questions, or feedback, you grant Exploring Scholar a worldwide, royalty-free, perpetual, non-exclusive licence to use, reproduce, modify, and display that content in connection with our business, including marketing materials, with appropriate attribution where reasonable. You confirm that any content you submit is your own work, is accurate, and does not infringe the rights of any third party.

By providing your email or phone number, you consent to receive transactional communications from us related to your order, account, or enrollment. You may also receive occasional marketing communications, which you can opt out of at any time by following the unsubscribe instructions in the message or by emailing info@exploringscholar.com.

12. Privacy

Your use of this website is also governed by our Privacy Policy, which describes how we collect, use, and disclose personal information. By using the website, you consent to the practices described in our Privacy Policy.

13. Third Party Services

We use third party services to run parts of our business, including Stripe for payment processing, WP Engine for hosting, and others we may add. These services have their own terms and privacy policies that apply to your use of them. We are not responsible for the acts or omissions of any third party.

14. Disclaimers

Our products and services are intended to support learning and academic preparation. We do not guarantee any particular academic, test, examination, or admissions outcome. Results depend on many factors outside our control, including the student’s effort, prior preparation, and the policies of schools and examination bodies. Information on this website is provided for general purposes and is not professional educational, legal, medical, or financial advice. The website, products, and services are provided on an “as is” and “as available” basis without warranties of any kind, express or implied, to the maximum extent permitted by applicable law, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

15. Limitation of Liability

To the maximum extent permitted by applicable law, in no event will Exploring Scholar or its directors, officers, employees, contractors, or affiliates be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, loss of data, loss of goodwill, or loss of opportunity, arising out of or in connection with your use of the website, our products, or our services, whether based in contract, tort, statute, or any other legal theory, even if we have been advised of the possibility of such damages. Our total aggregate liability to you for any claim arising out of or in connection with these Terms, the website, or any product or service is limited to the amount you paid to us for the product or service giving rise to the claim in the twelve months before the claim arose. Some jurisdictions do not allow the limitation or exclusion of liability for certain damages, so portions of this section may not apply to you.

16. Indemnification

You agree to defend, indemnify, and hold harmless Exploring Scholar and its directors, officers, employees, contractors, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses, including reasonable legal fees, arising out of or related to your breach of these Terms, your misuse of the website or our products or services, or your violation of any law or third party right.

17. Governing Law and Disputes

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable in Ontario, without regard to conflict of law principles. You and Exploring Scholar agree that any dispute arising out of or in connection with these Terms or your use of the website, products, or services will be brought exclusively in the courts located in Toronto, Ontario, and you consent to the personal jurisdiction of those courts.

18. Changes to These Terms

We may update these Terms from time to time. The current version is always available on this page with the “Last updated” date shown at the top. Material changes may also be communicated by email or a notice on the website. Continued use of the website or our products and services after a change takes effect means you accept the updated Terms.

19. Severability and Entire Agreement

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect, and the unenforceable provision will be replaced by an enforceable provision that comes closest to expressing the original intent. These Terms, together with any enrollment agreement, service agreement, and the Privacy Policy, form the entire agreement between you and Exploring Scholar concerning the subject matter of these Terms.
